Bylaws Article I
Introduction Section 1. Code
of Rules. These Bylaws supersede
the New Mexico B.A.S.S. Chapter Federation Bylaws, dated Section
2. Purpose
and Powers. The New Mexico
B.A.S.S. Chapter Federation, hereinafter referred to as the Federation,
consisting of affiliated Chapters of Bass Anglers Sportsman Society, shall have
the purposes and powers as may be stated in its Articles of Incorporation, and
such powers as are now or may be granted by law. Additional purposes and objectives are: a. To promote and support approved conservation policies, practices and measures, preservation of aquatic resources and improvements of ecological and environmental conditions on regional, state and local levels. b. To promote the practice of high standards of sportsmanship and conservation measures among the membership. c. To provide the state Game and Fish Commission
organized moral, political, material support and encouragement. d. To promote improvement of Bass angling skills
in the membership through fellowship, the friendly exchange of techniques and
ideas and the conduct of Federation sponsored Bass fishing tournaments. e. To encourage youth fishing, promote the
conduct of youth fishing activities by the Federation’s Bass Chapters (clubs)
and, within budgetary allocations, provide funding and material assistance in
the implementation of approved youth activities. f. To conduct Bass fishing tournaments as may be
required for purposes of determining the members who will constitute the
Federation’s Team and represent the Federation during Bass Angler Sportsman
Society sponsored tournaments. g. Within funding limitations, provide funding for the Federations Team’s participation in B.A.S.S. sponsored regional and national tournaments as may be required. Section 3. Slogan. This organization’s slogan shall be: “Dedicated to Conservation and the Bass
Fisherman of New Mexico.” Section 4. Colors. The Federation’s colors are Yellow and Red. ARTICLE IILOCATION OF FEDERATION Section 1.
Geographical. This Federation shall consist of those
qualified Bass Chapters (clubs) whose offices of record and majority of members
are domiciled in the state of Section
2. Principal
Office. The principal office and
business address of this organization shall be the same as that of the
Federation’s President. ARTICLE IIIMEMBERSHIP Section
1. Definition
of Membership. The members of
this Federation are those persons and organizations having membership in
accordance with the provisions of these Bylaws. Section
2. Categories
of Membership. This Federation
shall have two categories of membership. a. Individual – Persons who are members in good
standing of Bass Anglers Sportsman Society (B.A.S.S.) and who are also members
in good standing of Bass Chapter affiliates of this Federation. b. Organizational – Bass Chapters in the state
of Section
3. Affiliation. Membership in this Federation shall be
acquired only by Bass Chapters who meet the following prerequisites: a. One hundred percentile (100%) of the
Chapter’s individual membership shall be members in good standing of B.A.S.S.,
B.A.S.S. National Federation, and the New Mexico State Federation. b. Individual membership in the
Chapter shall consist of six (6) or more members. c. The
Chapter’s office of record shall be in the state of d. Chapter shall be an affiliate of B.A.S.S.;
or, the organization is otherwise qualified and B.A.S.S. confirms that affiliation
has been requested and is pending. e. Upon application for affiliation, Chapter
provides the Federation with a current membership roster and the name and
address of its designee(s) for the Board of Directors and pays $20 Federation
membership dues for each member or $37 for a family membership. A family membership entitles two household
members full N.M. State Federation benefits, except they will only receive one
copy of Big Mouth. Section
4. Continuation. Chapter affiliation in this Federation shall
be on a continuing basis provided: a. Chapter maintains current its affiliation
with B.A.S.S. b. Chapter
maintains its domicile in the state of c. Chapter complies with the requirements for representation during Federation Board of Director’s meetings. (Ref: Art IV, Sec 2) d. Chapter’s individual membership is maintained
at six (6) or more and pays $20 membership dues for each member and the $37
family membership dues by January 1 each year. e. Chapter maintains current the names and
addresses of its officials with the Federation. Section
5. Withdrawal
From Membership. Any bass
Chapter may withdraw from membership, after fulfilling all of its obligations
to the Federation, by giving notice, preferably in writing, to the
Secretary. In the absence of
notification, Chapters who fail to have representation on four successive
occasions at Federation Board of Director’s meetings shall be considered as
having effected withdrawal action and will be removed from membership. Actions of withdrawal as enumerated above
shall also be reported to B.A.S.S. for disaffiliation action. Section
6. Forfeiture
of Membership. a. Chapters in violation of Article III, Section
4 may be dropped from membership. b. Chapters who absent themselves (fail to have
bonafide representation) from four consecutive regular Board of Director’s
meetings without acceptable cause being given, shall be considered at the Board
of Director’s meeting next following the fourth absence for forfeiture or
retention of membership. c. Bass Chapters may be removed from membership for reasons stated above and for cause by two-thirds vote, with a quorum present of the Board of Directors, and after opportunity to be heard, whenever, in its judgement, the Board considers such action to be in the best interests of the Federation. d. Individual membership in the Federation is
forfeited concurrent with cessation of the individual’s Bass Chapter membership
in the Federation. e. Individuals may be denied participation in
Federation sponsored activities by a two-thirds vote, with a quorum present of
the Board of Directors for cause, and after opportunity to be heard, whenever,
in its judgement, the Board may consider such action to be in the best
interests of the Federation. For
flagrant reasons, the Board may recommend removal of the individual from
Chapter membership. Affirmation action
shall remove the individual from membership in the Federation. Section
7. Reinstatememt
of Membership. a. Membership in this Federation that was
terminated by withdrawal action may be reinstated by showing compliance with
the prerequisites set forth in Section 3 of this Article III. b. Membership in this Federation that was
terminated under section 6, this Article III, may be reinstated by showing
compliance with Section 3, this Article III and by majority vote, with a quorum
present of the Board of Directors. Section
8. Rights
and Privaleges. The B.A.S.S.
Chapters and the Chapter’s membership comprise this Federation. As members of this Federation they are
entitled to all rights and privileges and subject to all obligations to which
membership in Bass Anglers Sportsman Society/National B.A.S.S. Chapter
Federation implies. a. Without limiting such rights and obligations,
individual rights shall include eligibility to seek, if otherwise qualified,
any office in this Federation and the right to vote on all matters requiring a
vote of the individual membership; and
such individual obligations shall include maintaining current their membership
in B.A.S.S., membership in an affiliate Chapter of this Federation, active
participation in Federation activities and a conduct reflecting a favorable
image of the B.A.S.S. Chapter Federation in the community. b. The B.A.S.S. Chapters shall have
representation on the Board of Directors with the rights and obligations that
such representation shall entail, the right to vote through their Board’s
representative on all matters pertaining to the operation of the
Federation; the right to participate in Federation sponsored activities for which they are
eligible and such other rights as may be conferred by the Board of
Directors. The Chapter’s obligations
shall include maintaining affiliation with this Federation, active
participation and support of Federation projects and activities and the
maintenance of a level of conduct and sportsmanship among its members that
imparts a favorable image on the Chapter and this Federation in the community. Section
9. Non-discrimination. There shall be no discrimination in
membership or participation in the activities of the Federation by reason of
race, creed, color, national origin, or sex. ARTICLE IVBOARD OF
DIRECTORS Section
1. General. The business management and affairs of the
Federation shall be under the direction and control of the Board of Directors
who shall have the authority to authorize contracts, incur liabilities, expend
funds, approve sale and exchange of organizational property and attend to such
other matters connected with the conduct of the Federation, as, from time to
time it may determine. The officers of
the Federation and elected representatives of affiliate B.A.S.S. Chapters shall
constitute the Board of Directors. Section
2. Bass
Chapter Representation. a. Each Bass Chapter of the Federation which is
in good standing with and maintains active its affiliate status with this
Federation, shall have a member who shall serve as a director on the
Federation’s Board of Directors. Such
director shall: (1)
Be an elected official of the Chapter he represents or be elected by the
Chapter membership specifically for the director’s position. (2)
Represent the membership of their Chapter and convey the business of that
membership to the Board of Directors and in turn, relay the business of the
Board of Directors to the Chapter members. (3)
Hold office for one (1) year and thereafter until their respective successors
shall be elected and shall qualify. (4)
Attend a minimum of three of the scheduled Board of Director’s meetings
conducted during the calendar year (CY).
Compliance with this requirement shall maintain active their Chapter’s
status in the Federation and eligibility for Chapter participation in
Federation tournaments. b. In addition to the director, B.A.S.S.
Chapters may elect alternate directors who meet the requirements of
director. The Chapter’s alternate
director may represent the Chapter at Board of Director’s meetings in the
absence of the Director. Alternate directors
may be appointed to fill unexpired terms of office of Chapter directors should
the position be vacated for any reason. c.
As provided under Article III, Section 4, a requirement for continuing
affiliation with this Federation is Chapter representation on Board of
Director’s meetings. Chapter
representation shall include the requirement that B.A.S.S. Chapters shall
maintain current the name and address of their director and first alternate
director with the Federation. Should a
change in the directors occur, change shall be reported to the Federation’s
Secretary prior to the next scheduled board meeting. Section
3. Removal
From Office. The Board of
Directors shall have the right at any time to remove any director from office
for cause by majority vote, with a quorum present of the Board of Directors,
and after opportunity to be heard, whenever, in its judgement, the board
considers such action to be in the best interest of the Federation. Cause shall be constructed to include failure
to attend scheduled meetings. Section
4. Meetings. Regular meetings of the Board of Directors
shall be held each quarter during the calendar year (CY) on such dates, at such
a place, and at such a starting time as shall be coordinated and determined by
the President and approved by the Board.
Additionally, and/or special meetings will be held at the discretion of
the President. The location, dates and
starting times for the regular meetings of the Board of directors for the
succeeding CY shall be announced by the President during the last Board meeting
for the current CY. Section
5. Special
Meetings. Special meetings of
the Board of Directors may be called at any time by the President or by a
majority of the Officers of the Board of Directors. Notice of any special meeting of the Board of
Directors shall be given in writing, personally or by mail, to each director
not less than ten (10) days before such meeting. The notice shall state the time, place and
the purpose or purposes for which the meeting is called. If notice of a special meeting is mailed, it
shall be deemed to have been given ten (10) days after deposit in the Section
6. Action
Without Meeting. Any action
which may be taken at a meeting of the Board of Directors may be taken without
a meeting if a consent in writing, setting forth the actions to be taken, shall
be signed by a majority of the directors entitled to vote with respect to the
subject matter thereof. Such consent
shall have the same force and effect as a vote of the Board of directors, and
may be stated as such in any writing or document. Section
7. Committees. The Board of Directors may, by resolution(s),
passed by a majority of directors, with a quorum present, designate one or more
committees, each committee to consist of two or more of the directors and any
number of individual members of the Federation.
The designation of such committee and the delegation thereto of
authority shall not operate to relieve the Board of Directors, or any member
thereof, of any responsibility imposed upon it to him by law. Each committee shall keep regular minutes of
its meetings and report the same to the Board of Directors when required. Section
8. Voting. At all meetings of the Board of Directors,
each director shall have one vote. Proxy
votes during Board meetings are prohibited. Section 9. Compensation. Directors shall not receive compensation from
Federation funds for their services as directors. However, directors may be reimbursed for
expenses incurred in behalf of the Federation, the expenses to be evidence by
receipt or other proper document. Section
10. Books
and Accounting Records. As a
continuing action, the Board of Directors shall monitor the procedures for
maintaining the books and accounting records of the Federation to assure: a. The Federation keeps correct and complete
books and records of account. b. All Federation funds are properly safeguarded
and all receipts of monies and expenditures are properly recorded according to
acceptable accounting procedures. c. A record of the proceedings of its members,
Board of directors and committees are kept. d. A record of the names and addresses of its
affiliate B.A.S.S. Chapters and Chapter members on the Board of Directors are
maintained at the principal office of the Federation. e. The Federation’s financial books and accounts
are audited annually by a committee appointed by the President, or more often
at the Board’s discretion. Section
11. Exceptions
to Authority. The Board of
Directors may not: a. Make any rule or regulation, not already
delegated to the Federation by the Articles of Incorporation or these Bylaws,
that shall impinge upon the autonomy and authority of the B.A.S.S. Chapters as
separate entities. b. Amend or repeal portions of the Articles of
these Bylaws that were imposed by vote of the individual membership, inclusive
of the following which shall be determined by individual vote: (1)
Withdrawal of the Federation from Bass Anglers Sportsman Society. (2) Dissolution of the Federation. Section
12. Quorum. A quorum for the transaction of business at
all meetings of the Board of Directors shall be sixty-two per cent (62%) of the
average number of B.A.S.S. Chapter directors who registered for each of the two
preceding regular Board meetings. Section
13. Executive
Secretary/Director. The Board of
Directors may appoint a salaried Executive Secretary/Director, providing that
the authority of this office is limited to administrative management of the
day-to-day operation of the Federation and that this office in no way becomes
involved in determination of Federation policy. ARTICLE V OFFICERS Section 1. General. Officers of the Federation shall be elected
by the Board of Directors. Federation
officers, as a group, shall be known as the Executive Committee and are
empowered to carry out the directives of the Board of Directors when the Board
of Directors is not in session. The
Board of Directors shall have the power to overrule or modify the action of the
Executive Committee or any officer of the Federation. a. The Executive Committee may act by a majority
of its members at a meeting or informally without a meeting provided all
members sign a writing reflecting such informal action. b. An act or authorization of an act by the
Executive Committee within the authority delegated shall be as effective for
all purposes as the act of authorization of the directors; however, the
designation of the committee and this delegation thereto of authority shall not
operate to relieve the Board of Directors, or any member thereof, of any
responsibility imposed upon it or him by law. c. The Executive Committee shall meet prior to each
regular or special meeting of the Board of Directors to prepare an agenda for
the Board of Director’s meeting, to consider and shape old and new business for
presentation to the Board’s directors. d. During Board of Director’s meetings, officers
may perform dual functions, i.e., Federation official and B.A.S.S. Chapter
director. In the latter case provided
they are the Chapter delegate and are recognized as such by the chair, they
shall be authorized to register attendance and cast their authorized vote under
the provisions of Article IV, Section 8 in the interests of their respective
B.A.S.S. Chapter. Section 2. Term
of Office. The term of office
for Federation officials shall be for a period of one (1) year. Officers shall take office immediately
following the meeting in which they were elected. They shall serve from that date. Officers may be elected for consecutive terms
for the same position, not to exceed three terms, three (3) years of
uninterrupted tenure. As the last item
of business, the incumbent president will administer the oath of office to the
newly elected officers during the fourth quarter meeting. Section 3. Eligibility
for Office. Officers shall be
members in good standing of Bass Anglers Sportsman Society and of an affiliate
B.A.S.S. Chapter of this Federation. Section 4. Removal
From Office. Any officer may be
removed from office for cause by two-thirds vote, with a quorum present, of the
Board of directors, and after opportunity to be heard, whenever, in its judgement,
the Board considers such action to be in the best interest of the
Federation. An officer’s absence, with
justifiable reason, from three consecutive meetings of the Board of Directors
shall be cause for removal. ARTICLE VI RESPONSIBILITIES
AND DUTIES OF OFFICERS Section
1. President. He shall be the chief executive officer of
the Federation. He shall: --Preside
and maintain order over all meetings of the Executive Committee and Board of
Directors of the Federation. --Schedule
regular and special meetings of the Board of Directors and of the Executive
Committee; notify directors and officers of meeting dates. --Appoint
Standing and Special Committees of the Federation as appropriate, cooperate
with chairman thereof to assure proper functioning and reporting of each
committee. --Assure
that meetings scheduled for the individual membership are noticed and held. --See
that regular elections are duly called, noticed and held. --Direct
all official business for the Federation. --Be
the official representative of New Mexico B.A.S.S. Chapter Federation. --Assure
adequate supervision of all Federation sponsored activities. --Except
for Nominating Committee is ex-officio, nonvoting member of all standing and
special committees. --Maintain
liaison with Bass Anglers Sportsman Society and endorsed sponsors and
promoters. --Initiate
disciplinary action in respect to violations of standing regulations and
procedure by Federation members. --Acquire
a working knowledge of parliamentary law and procedures and a through
understanding of the Articles and Bylaws of this Federation. --Submit
each calendar year, no later than the first quarter meeting, a Statement of
Anticipated Revenues and Expenditures (Budget) for approval by the Board of
Directors. --Maintain
liaison with New Mexico Game and Fish Commission. --Be
responsible as the Outgoing President and Treasurer from the previous year to
reasonably and willingly assist the new President and Treasurer with tax
preparations for the previous year. --Be responsible as the New
President and Treasurer to file the taxes and contact the former officers of
the above before the deadline for tax filing. --Be
responsible as the New President and Treasurer to provide the Outgoing President
and Treasurer with a copy of taxes filed. Footnote: It
is suggested the New President use the accounting firm of Ritter, Barr and
Company, Section
2. Vice
President. If the President is
unable to perform the duties of his office for any reason, the Vice-President
shall occupy his position and perform his duties with the same authority as the
President. He shall: --Assist
the President as directed. --Oversee
the functioning of such committees of this organization as the President shall
direct. --Assume
the office of President for balance of term should office be vacated. Section
3. Assistant
Vice President for Planning and Operations. In the event of absence of President and Vice
President, he shall be next in rank to occupy the president’s position and
shall assume and discharge pro tempore the powers and duties of the President. He shall be a member of the Federation’s
Tournament Committee; he shall: --Coordinate tournament planning, maintaining the Board of Directors and Executive Committee current relative to the status of Federation sponsored tournaments. --Obtain
the assistance of B.A.S.S. Chapters in the planning and selection of area and
site for use during conduct of Federation sponsored tournaments. --During
the Federation’s Third Quarter Board of director’s meeting, propose primary and
alternate locations for the succeeding year’s Federation Tournaments. --Monitor
preparations for Federation sponsored tournaments; keep the president and
members of the Executive Committee current relative to the preparatory
activities. --Maintain
current files of “B.A.S.S. Tournament Rules and Regulations” governing conduct
of the Federation Tournaments, prescribed exceptions to these rules as may be
required to meet tournament conditions. --Establish
rules and procedures to govern all Federation sponsored tournaments to assure
their conduct within the spirit and high degree of standards established by
B.A.S.S. and the New Mexico B.A.S.S. Chapter Federation. --Determine requirements and
request funding allocations required for conduct of Federation Tournament and
tournaments related activities. --Coordinate
Youth Activity related activities for the federation; ascertain funding
requirements and recommend funding allocations for youth projects and events. --Assist
the president as directed. Section
4. Assistant
Vice president for Finance, Administration and Public Relations. He shall be the action officer for
the Federation on such matters as related to Public Relations and Information,
Financial and Administrative Affairs. He
shall: --Serve
as a member of the Audit, Finance and Award’s Committees appointed by the
President. --Furnish
guidance to committees and/or other working groups planning Federation
sponsored fund raining activities to assure such activities recommended for
adoption are “activity related” under Internal Revenue Codes. --Provide
for the release of timely information to the news media and the general public
to inform them of newsworthy programs and operations conducted by the
Federation and its affiliate B.A.S.S. Chapters. --Provide
for an editor of the Federation publication “Big Mouth.” --Maintain
an inventory of Federation patches, pins, and decals. --Provide
for internal dissemination of B.A.S.S., Federation, and Chapter information
including Federation Tournament results to the Federation membership. --Assist
the President as directed. Section
5. Assistant
Vice President for Natural Resources and Conservation. He shall be the action officer for the
Federation in such matters as related to the natural environment and its
protection and to the conservation, propagation and protection of aquatic
resources. He shall: --Coordinate
and supervise the implementation of Federation sponsored environmental and
conservation related programs. --Collect
and evaluate reported violations of local, state and federal anti-pollution
laws, statutes, regulations, ordinances and other regulatory devices; recommend
and take actions as directed. --Undertake
information and educational programs to bring to the members and the public an
awareness of threats to the environment. --Maintain current
information pertaining to legislation at local, state or national levels that
will influence environmental or aquatic resources; assure membership awareness
of such legislation. --Maintain
liaison with the Fisheries Division, New Mexico Game and Fish Commission and
other state and national agencies as appropriate. --Assist
the President as directed. Section
6. Secretary. He shall be under the supervision and
direction of the President and the Board of Directors and shall act as the
liaison officer between the Federation and the B.A.S.S. Chapter Department of
Bass Anglers Sportsman Society. In
fulfillment of this, he shall: --Keep
a record of the proceedings (Minutes) of all meetings of the Board of Directors
and Executive Committee. --Maintain
current a roster, inclusive of mailing address, telephone number and parent
B.A.S.S. Chapter, of the Board of Directors; register and maintain the record
of attendance of directors at Board of Director’s meetings. --Notify
directors of Board of Director’s meetings on a timely basis. --Have
custody and maintain general records of the Federation, including, but not
limited to, minutes of the Board of Director’s meetings; Chapter director
attendance; committee appointments and reports; addresses and telephone numbers
of affiliate Chapter officials and directors. --Coordinate
the preparation and submission by members of the Executive Committee of such
reports as are required by B.A.S.S. and other agencies; conduct correspondence
for the Federation as directed. --Maintain
current a roster of Federation officials and directors; disseminate updated
copies to Federation officials. --Maintain
current a jacket file of B.A.S.S. Chapter affiliates with the Federation; such
files to include, at the minimum, a copy of the current Chapter membership
roster, Chapter’s B.A.S.S. number and status. --Serve
as a member of the Tournament Eligibility Committee; work with the committee to
determine each B.A.SS. Chapters tournament eligibility status; report such
eligibility status during the fourth Board of Director'’ meeting for the
calendar year. --Assist
the President as directed. Section
7. Treasurer. He shall have the care and custody of and
shall be responsible for all the funds, securities, evidences of indebtedness
and other valuable documents of the Federation, and Deposit all such funds in the name of the Federation in such banks, or trust companies, or other depositories, or in such safe deposit vaults as the Board of Directors may designate. He shall: --Sign,
make and endorse in the name of the Federation, all checks, notes, drafts,
bills of exchange, acceptances and other instruments for the payment of money,
and payout and dispose of and receipt therefore, under authorization and
direction of the President, Vice President for PR, Fin & Admin, or Board of
Directors. --Render
a statement of the condition of the finances of the Federation at each regular
meeting of the Board of Directors, and at such other times as shall be required
of him. --Keep
full and accurate books of accounts of all Federation business and other such
books of account as the Board of Directors may require, and shall exhibit the
same to any director of the federation upon application thereof. --Prepare
and submit a complete calendar year financial report at the succeeding year’s
first Board of director’s meeting. --Pay
statements from officers and committee members only when clearly authorized by
the President or Vice President, PR, Fin & Admin, and when fully documented
by receipts. --Issue
statements and collect for financial obligations owed to the Federation. --Have
custody and maintain records of Federation accounts and disbursements. At termination of office such records shall
be inventoried; active records shall be turned over to the succeeding
Treasurer; old records shall be committed to Federation files as the President
or Board of Directors shall direct; a receipt for same will be obtained. Valuable documents of the Federation in
depositories or elsewhere shall be jointly inventoried by the outgoing and new
Treasurer in the presence of the President or Vice President of PR, Fin &
Admin prior to transfer of custodianship to the new Treasurer. --Perform
all duties incident to his office. Section
8. Assistant
Secretary/Recorder. The
President may appoint a qualified individual to assist the Secretary in all
matters that pertain to the Secretary’s office. Position may be a salaried
position and individual so appointed may be a non-member. Annual costs to the Federation shall be
within funding allocations for the position as approved by the Board of
Directors. Section
9. Powers
and Duties of Executive Director.
Should the Board of Directors appoint an Executive Director as provided
for under Article IV, Section 13, he shall be responsible to the Board of
Directors and shall administer, direct and coordinate all activities and the
general management of the Federation in accordance with the policies
established by the board of Directors.
The Executive Director, subject to approval of the Board of Directors,
shall appoint and remove, employ and discharge, and fix compensation of all
agents and employees of this federation other than officers. The Executive director shall see that the
books, reports, statements and certificates required By the statutes are properly kept, made and filed
according to law. The Executive Director
shall be an ex-officio, nonvoting member of the Board of directors and of the
Executive Committee. The Executive
Director need not be a member of the Federation. Section
10. Returns
and Statements. It shall be the
duty of each officer of this federation to make and file any and all returns,
reports, lists or statements required by law to be made and filed by him, and
to make full report to the Board of Directors respecting the affairs of the
Federation in his charge whenever he may be required to do so. ARTICLE VII ELECTIONS Section
1. Directors. Members of the Board of Directors are elected
representatives of affiliate Bass Chapters of this Federation as provided for
by Article IV, section 1 and 2 of these Bylaws.
As Chapter representatives, they shall be elected to their positions
under the procedures prescribed by their respective Chapters. Section
2. Officers. Officers of the Federation shall be elected
by the Board of Directors in accordance with procedures as prescribed herein;
they shall have such terms of office and eligibility requirements as provided
under Article V, Sections 2 and 3. a. The President shall appoint, no later than
the third meeting of the Board of Directors for the calendar year, a committee
on nominations consisting of not less than five (5) nor more then eleven (11)
members, selected insofar as possible so as to give equitable representation on
the committee of the geographical areas of the state. No officer shall be appoiinted as a member of
such committee. b. The Nominating Committee shall prepare a list in writing of nominations for officers. Subject list must be provided to each Director at least fifteen (15) days prior to the fourth quarter meeting so each Director can present the nominations to their club members. c. Regular elections to fill officer positions
shall be conducted during the last meeting of the calendar year. Last meeting of each calendar year shall be
held in October, no later that the third Saturday of the month. The election shall be by members of the Board
of directors with a quorum present and a plurality vote shall be necessary to
elect. Voting for each officer position
shall be by a written ballot. d. Should vacancies occur among officer positions, such vacancies may be filled at a regular or special meeting of the Board of Directors, and any officer so elected shall hold office until the end of the normal term or until his successor shall be elected and shall qualify. ARTICLE VIIICOMMITTEES Section
1. Standing
Committees. The President of the
Federation shall appoint the following standing committees; such committees,
composed of Chapter members and members of the Board of directors, shall
consist of no less than three (3) members. a. Conservation and Environmental Committee –
This committee shall monitor conservation and environmental practices and
procedures exercised during Federation and Chapter tournaments and report
deficiencies to the President; it shall work with the Federation’s Asst. Vice
President for Natural Resources and Conservation Officer on all matters related
to the preservation of aquatic resources and the natural environment, Federal
sponsored projects related to the Sport Fish Restoration program (Wallop-Breaux
Amendment to Dingall – Johnson Federal aid in Sport Fish Restoration Act) and
the indoctrination of youths in such matters; it shall review proposed
environmental and conservation projects to determine suitability for Federation
sponsorship. It shall deep the Board of
Directors advised and make recommendations concerning the above. b. Youth Activities Committee – This committee
shall review youth activity programs and projects related to indoctrination of
our youth in the sport of fishing, sportsmanship, aquatic resources, boat and
water safety and conservation practices as may be implemented by Federation organizations;
it shall recommend improvements thereto; review and determine suitability of
similar projects proposed for Federation sponsorship and assist in the planning
and implementation for such projects. c. Tournament Committee – This committee shall
plan, organize and operate Federation tournaments which shall determine
eligibility to enter the B.A.S.S. sponsored divisional tournament; to select
tournament launch, take-off and check-in sites in coordination with the local
Federation Chapters and committee authorities; to provide for the registration
of tournament entrants, the manning of launch, take-off and check-in sites,
supervision, operation and other matters properly related to the orderly
conduct of New Mexico B.A.S.S. Chapter Federation Tournaments. Provided, however, that all such tournaments
will be conducted within the spirit and letter of current “B.A.S.S.
Federation Divisional Tournament Official Rules” as amended by exceptions
approved by the Board of Directors. d. Tournament Eligibility Committee – The
Secretary/Treasurer shall serve as an ex-officio member of this committee with
vote. The committee shall meet at call
of the President to assess Bass Chapter Tournament eligibility under the provisions
of Article IV, Section 2a, 4 and Article XII, Section 2; to announce the
results of such assessments during the fourth meeting of the calendar year to
the Board of Directors; to consider requests for reinstatement of tournament
eligibility and reasons in mitigation that may have been submitted by
ineligible Chapters; to recommend action that should be taken relative to the
request. e. Committee on Credentials – This committee
shall consist of three (3) members from the Board of Directors and the
Secretary/Treasurer who shall be an ex-officio member. The committee shall meet following registration during
the first and third meetings on the calendar year, or more frequently at call
of the President, to check director or alternate director credentials to assure
compliance with Article IV, Section 2 of these Bylaws. Committee shall report the results to the
Board of Directors as soon as practical, reporting the names of those Bass
Chapters directors with proper credentials and therefore authorized to vote; to
report doubtful or contested cases and make recommendations relative to each to
the Board of Directors. Section
2. Special
Committees. Special committees
may be appointed by the President, subject to concurrence in their composition
and purpose by the Board of directors, for closely defined purposes. In no case should tenure of a special
committee exceed two (2) years from the date of appointment. Special committees may not supersede or
otherwise infringe upon the duties and responsibilities of standing committee. ARTICLE IXCONDUCT OF
MEETINGS Section
1. Rules
of Order. The Rules of Order,
inclusive of Order of Business adopted for meetings conducted by this
Federation is appended to these Bylaws as Appendix I, Rules of Order. Section
2. Parliamentary
Procedures. Except as otherwise
specifically provided in this Federation’s Articles of Bylaws, all questions of
order or procedure with respect to any meeting in action of this organization,
its Board of Directors; Executive Committee, or any committee appointed hereunder
shall be determined in accordance with “Robert’s Rules of Order (as
